Terms of Service

By creating an account on Mantle (mantlehq.app), operated by Reckn LLC, a Delaware limited liability company, you agree to be bound by these Terms of Service. If you do not agree, do not create an account. Reckn LLC reserves the right to update these terms at any time with notice provided via email to your registered address.

Mantle is a two-sided marketplace that connects independent software founders with commission-only distribution partners. Mantle does not employ distribution partners, does not guarantee sales performance, and does not guarantee revenue outcomes for founders. Mantle provides the infrastructure for founders and partners to connect, transact, and communicate.

Every other tool helps you do sales yourself. Mantle does it for you.

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials. You must be at least 18 years of age to create an account. Reckn LLC reserves the right to suspend or terminate any account that contains false or misleading information.

4.1 Listing Requirements. Founders may list software products on Mantle at no upfront cost. By submitting a product listing, founders represent and warrant that they own or have the legal right to distribute the software, that the product description is accurate, and that the stated pricing and revenue share percentage are current and binding.

4.2 Revenue Share Obligation. Founders agree to honor the revenue share percentage set at the time of listing for the lifetime of each customer relationship originated through Mantle. Mantle's platform fee is deducted automatically via Stripe Connect at the time of each subscription payment. Founders may not alter the revenue share percentage retroactively for existing customers acquired through Mantle.

4.3 Payment Infrastructure. Founders must connect a valid payout method to receive earnings. Mantle supports two payout rails: Stripe Express (recommended for US and Europe) and PayPal Payouts (available in 200+ countries). Founders select their preferred method from their Payouts dashboard. Reckn LLC is not responsible for delays or failures caused by Stripe, PayPal, or the founder's banking institution. PayPal withdrawal fees, where applicable, are the sole responsibility of the account holder.

4.4 Product Responsibility. Founders are solely responsible for the quality, functionality, support, and legal compliance of their software products. Mantle does not warrant or endorse any product listed on the platform. Founders agree to indemnify Reckn LLC against any claims arising from their product.

4.5 Partner Management. Founders have the right to approve or decline partner applications for their products. Founders may terminate a partner's access to their product at any time with written notice through the platform. Termination of a partner does not affect commissions already earned on active paying customers unless fraud or misrepresentation is established.

4.6 Payout Hold Policy. To protect customers and maintain platform trust, Mantle holds the founder's share of each sale in escrow until the founder confirms that the customer has been sent access to the purchased product. This confirmation is made through the founder's Customer Onboarding dashboard. Once access is confirmed as sent, the founder's payout releases automatically to their chosen payout method. If a customer requests a refund before access is confirmed as sent, Reckn LLC reserves the right to issue the refund from held funds without prior notice to the founder. Founders are encouraged to send customer access promptly — Mantle sends an automated reminder if access has not been confirmed within one hour of a new subscription.

5.1 Independent Contractor Status. Distribution partners on Mantle are independent contractors, not employees of Reckn LLC or of any founder. Partners are solely responsible for their own taxes, insurance, and business expenses. Nothing in these terms creates an employment relationship.

5.2 Application and Approval. Partners must submit a complete application including accurate background and experience information. Founders retain full discretion to approve or decline any application. Providing false information in an application is grounds for immediate account termination.

5.3 Conduct Standards. Approved partners agree to represent products accurately and professionally at all times. Partners may only use sales materials provided or approved by the founder. Partners may not make claims about a product that are not supported by the founder's official materials.

5.4 One Strike Policy. A verified complaint of misrepresentation, deceptive sales tactics, or unprofessional conduct on a specific product results in immediate termination of the partner's contract for that product and forfeiture of all unpaid commissions earned on that specific product. The partner's access to other products on the platform is not automatically affected unless a pattern of conduct is established across multiple products, in which case Reckn LLC reserves the right to terminate the partner's account entirely.

5.5 Commission Earnings. Commissions are earned on active, paying subscriptions only. Commissions are not earned on free trials, cancelled subscriptions, or chargebacks. Commission rates are set by the founder at the time of product listing and confirmed in the partner's approval notification.

5.6 Referral Attribution. Each approved partner receives a unique referral code for each product they are approved to sell. Sales must be attributed through the partner's referral link to qualify for commission. Reckn LLC is not responsible for unattributed sales resulting from a partner's failure to use their referral link.

All customer payments on Mantle are collected through Stripe. Revenue splits between founders, partners, and Reckn LLC are calculated automatically at the time of each subscription payment. Founders and partners independently choose their payout rail — Stripe Express or PayPal — and payouts are routed to their chosen method upon release. Reckn LLC does not store payment card information. By using the platform, all parties agree to Stripe's Terms of Service (stripe.com/legal) and, where applicable, PayPal's User Agreement (paypal.com/legalhub).

The following are prohibited for all users: impersonating another person or entity, uploading false or misleading information, attempting to circumvent the platform to avoid Mantle's revenue share, harassing or threatening other users, using the platform for any unlawful purpose, and attempting to reverse engineer or copy the platform.

Mantle, the Mantle logo, and all platform content created by Reckn LLC are the intellectual property of Reckn LLC. Founders retain ownership of their software products. Partners retain ownership of their personal brand. Neither party may use Mantle's branding without written permission.

To the maximum extent permitted by law, Reckn LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the platform. Reckn LLC's total liability to any user for any claim arising from the platform shall not exceed the total fees paid by that user to Reckn LLC in the three months preceding the claim.

Reckn LLC may suspend or terminate any account at any time for violation of these terms. Users may terminate their account at any time by contacting support. Upon termination, active customer relationships and their associated recurring commissions survive for 12 months, after which all commission obligations cease.

These terms are governed by the laws of the State of Delaware. Any dispute arising from these terms shall be resolved through binding arbitration in Delaware under the rules of the American Arbitration Association. Both parties waive the right to a jury trial and to participate in a class action lawsuit.
