Independent Contractor Agreement

The Distribution Partner is engaged by Reckn LLC as an independent contractor. Nothing in this agreement creates an employment, partnership, joint venture, or agency relationship. The Partner is not entitled to employee benefits, workers compensation, unemployment insurance, or any other employment-related benefits from Reckn LLC or from any founder on the platform.

The Partner agrees to promote and sell the founder's product(s) for which the Partner has been approved on the Mantle platform. The Partner determines their own sales methods, schedule, and approach, consistent with the conduct standards of this agreement.

This agreement is non-exclusive. The Partner may represent multiple founders on Mantle and may engage in other sales work outside the platform, provided such work does not violate the Partner's obligations under this agreement.

4.1 Commission Structure. The Partner earns commission on active paying customers attributed to the Partner's unique referral link for each approved product.

4.2 Tier Structure. Partner commission tiers are determined by total active customers across all approved products:

• Starter tier (0 to 2 active customers): 50% of the sales pool
• Active tier (3 to 9 active customers): 60% of the sales pool
• Elite tier (10 or more active customers): 70% of the sales pool

The sales pool is the founder's chosen revenue share percentage of the subscription price. Mantle retains the remainder of the sales pool after the partner's cut is paid.

4.3 Non-Qualifying Sales. Commissions are not paid on free trials, churned subscriptions, chargebacks, or sales not attributed through the Partner's referral link.

4.4 Payment. Commissions are processed automatically upon release, which occurs when the founder confirms the customer has received access to their purchased product. Partners select their preferred payout method — Stripe Express or PayPal — from their Payouts dashboard. Reckn LLC is not responsible for payment delays caused by Stripe, PayPal, or the Partner's banking institution. PayPal withdrawal fees, where applicable, are the sole responsibility of the Partner.

4.5 Payout Release Condition. Partner commissions are held until the founder confirms customer access has been sent for that specific sale. This is consistent with Mantle's platform-wide Payout Hold Policy. Partners are not entitled to commission on a sale where the customer received a refund prior to access being confirmed as sent.

The Partner agrees to conduct all sales activity professionally and honestly. The Partner agrees to represent each product accurately and only as described in the founder's approved materials. The Partner agrees not to make false claims, apply pressure tactics, or misrepresent pricing, features, or capabilities to any prospective customer.

A verified complaint of misrepresentation, deceptive sales tactics, or unprofessional conduct on a specific product results in immediate termination of this agreement as it relates to that specific product and forfeiture of all unpaid commissions earned on that specific product. The Partner's agreements on other products are not automatically affected unless Reckn LLC determines a pattern of conduct exists across multiple products, in which case Reckn LLC may terminate all agreements and the Partner's platform account entirely.

The Partner agrees to keep confidential all non-public information about founders, their products, their customers, and their business operations that the Partner encounters through the Mantle platform. This obligation survives termination of this agreement.

The Partner agrees not to make disparaging, defamatory, or damaging public statements about Reckn LLC, Mantle, any founder on the platform, or any founder's products during the term of this agreement and for 12 months following termination.

The Partner acknowledges that all sales materials, product information, and brand assets provided by founders remain the intellectual property of those founders. The Partner acquires no ownership rights to any such materials through this agreement.

The Partner is solely responsible for all federal, state, and local taxes on commissions earned through the platform. Reckn LLC will issue a Form 1099 to any Partner earning $600 or more in a calendar year as required by law.

Either party may terminate this agreement at any time with written notice through the Mantle platform. Upon termination, the Partner will continue to receive commissions on active paying customers attributed to their referral link for 90 days following the termination date, after which all commission obligations cease. Termination for cause under the one strike policy forfeits all unpaid commissions on the affected product as described in Section 6.

This agreement is governed by the laws of the State of Delaware. Any dispute arising from this agreement shall be resolved through binding arbitration in Delaware under the rules of the American Arbitration Association. Both parties waive the right to a jury trial and to participate in a class action.

This agreement, together with the Mantle Terms of Service and Privacy Policy, constitutes the entire agreement between Reckn LLC and the Partner regarding the subject matter herein and supersedes all prior discussions and agreements.

By creating an account and accepting a product approval on the Mantle platform, the Distribution Partner agrees to be bound by this Independent Contractor Agreement.
